One of the vents for my home's central air conditioning extends about 12" below the basement ceiling. How can I make the vent flush with the ceiling so that it does not hang so low?

I have a large laundry room I want to split in half and make into a small bathroom with a toilet, small vanity and shower stall. The west wall is the exterior wall, the north and south walls are pocket doors, and I want to wall in the east side and again have a pocket door since the space will be tight. Is this possible? Do I plumb it up through the floor instead of the wall? What about the sink and shower drain? What about venting? Do I have to just run everything along the walls and paint them white to match? I want to put a slide-in stove where there isn't a wall. I would also like cabinets on either side. The question is, do I need a wall or can the cabinets be attached to the ceiling and if so do they need to be supported underneath too? Or do I just need to put up a wall?
I have a client with a 2/12 pitch roof. The previous homeowner had install arch comp roofing shingles in a 350sq ft area. This area has failed and needs roofing and structural repairs. She doesn't want a roof with differing materials and doesn't like the look of Torch Down. Is there a way to laminate shingles over Torch Down?
